As a Paralegal in our Corporate, Tax & Transactions Service Line, you'll play a key part in supporting a wide range of corporate law transactions such as preparing and coordinating documentation for mergers and acquisitions, conversions, dissolutions, and other entity changes. Other responsibilities may include supporting UCC filings, maintaining minute books and managing corporate records.
We're looking for a professional with 3+ years of corporate transactional paralegal experience who thrives in a dynamic environment. The ideal candidate is highly organized and will have experience with private placements and securities filings.

The Paralegal role is an hourly non-exempt position and will work full-time or hybrid from our Tampa, Florida office. There may be an opportunity for fully remote for the right fit.

Where You'll Work

What You'll Do
- Prepare, coordinate execution, and file formation documents for corporations, limited partnerships and limited liability companies, including governing agreements and organizational resolutions
- Manage multi-state entity qualifications, with a focus on Florida and Delaware requirements, ensuring compliance with all applicable filing obligations
- Support corporate transactions by preparing and coordinating documentation for mergers, conversions, acquisitions, dissolutions, and reinstatements, including agreements, state filings, and related resolutions
- Assist with due diligence and preparation of transactional documents such as purchase agreements, schedules, and promissory notes
- Prepare and coordinate private placement filings, including federal and state securities filings (e.g., SEC Form D and Blue Sky filings)
- Coordinate tax clearances and required regulatory approvals in connection with corporate actions
- Support ongoing entity maintenance and corporate compliance activities
- Assist in Uniform Commercial Code (UCC) filings process
- Prepare stock certificates, review certificates of good standing and maintain minute books for business entities
What We're Looking For
- Minimum 3+ years of corporate transactional paralegal experience including mergers and acquisitions, divestitures and entity change
- Bachelor's degree in related field of study preferred
- Experience with business entity formation, particularly in Florida and Delaware
- Private placement and securities filings experience, including SEC Form D and Blue Sky filings
- Ability to manage multiple projects or tasks in a demanding environment
- Proficiency in using Microsoft Office Suite, especially Microsoft Excel

- Ability to sit frequently (up to 6 hours per day)
- Static sitting position for up to 1 hour at a time
